Welcome to the SEALMG website at https://www.sealmg.com (the “Website /Platform ”). SEALMG is an online digital goods and services platform that, among other things, facilitates the sale and purchase of games, related merchandise and other items, including but not limited to game cards, gift cards and game top-ups between game publishers or merchants and buyers or customers.
By registering an account with SEALMG and accessing the Platform, you acknowledge and accept that your use of the Platform (or any of them) shall be subject to these Terms of Use and any other specific rules, procedures, terms and conditions set forth in the respective project pages, which may be modified by SEALMG at any time or from time to time in its sole discretion. In the event of any inconsistency, the terms and conditions set forth in the respective project pages shall prevail. Your acceptance of these Terms of Use shall constitute a legally binding agreement between SEALMG and you as the user.
We may revise, amend or update these Terms of Use from time to time. Any changes we make to these Terms of Use in the future will be posted on the Platform and, where appropriate, notified to you by email, and your continued access to the Platform and /or use of any Services will constitute your acknowledgement, acceptance and agreement to the changes we make to these Terms of Use. Please check back frequently for any updates or changes to these Terms of Use.
I. Definition
In these Terms of Use, unless the context requires otherwise, the following words and expressions shall have the following meanings:
1. Account: refers to the account you officially registered on SEALMG to facilitate your use of the services (or any of them) provided on the Platform;
2. Buyer: refers to a person who purchases goods on the platform;
3. Content: refers to all information, linked page functions, data, text, images, photos, graphics, music, sound, video, messages, tags, content, programming, software, tools, application services (including but not limited to any mobile application services) or other materials provided on or through the Platform or its related services;
4. Intellectual Property Rights: means all copyrights, trademarks, service marks, brand names, logos, copyrighted information and other intellectual property rights belonging to the respective owners /publishers/developers and/or SEALMG ;
5. Project: refers to any goods, products or services sold on the Platform;
6. Legal Age: means the legal age to consent to this Agreement under the applicable laws of your jurisdiction.
7. Parties: collectively refer to SEALMG and you, "Party" shall refer to any of them;
8. Platform: collectively refers to the online platform currently known as SEALMG.com ;
9. SEALMG Credit: refers to the electronic credit value that Buyer can purchase from SEALMG for purchasing goods and services on the Platform;
10. Services: the services provided on the Platform and the client software made available through the Platform, including (but not limited to) the sale /resale/retail/purchase of Games, related merchandise and items, advertising/publishing of Games and top-up/recharge/recharge of Game credits;
11. Submission: means any materials, information or ideas provided by you to SEALMG in any manner ;
12. Terms of Use: means these Terms of Use, which apply to your use of the Services and may be amended at any time as SEALMG deems necessary at its sole discretion, including: any rules, procedures, terms of use for products, services or facilities determined by SEALMG from time to time; and any documents, instructions, correspondence and agreements referred to in these Terms of Use that form part of these Terms of Use, and any amendments to any of the foregoing made at any time or from time to time;
13. User ID: means the unique user identification provided to you during account registration ;
2. License
1. In consideration of your agreement to these Terms of Use and your continued compliance with these Terms of Use, SEALMG hereby grants you a non-exclusive, non-transferable license to access the Platform and use the Services in accordance with the terms and conditions set forth in this Agreement ;
III. Representations and Warranties
Each time you access the Platform (or any of them), you irrevocably and unconditionally represent and warrant that you are of legal age. If you are under legal age, you must obtain permission from your parent or legal guardian to register for an account, and such parent or legal guardian must agree and have agreed to these Terms of Use on your behalf . You shall not, and agree and undertake that SEALMG will not:
1. Your personal information and submitted documents, including but not limited to your full name, telephone number, mailing address and email address, are true and accurate. If there is any change in your personal information, you should notify us in writing immediately;
2. You should ensure the security and confidentiality of your account password. You shall not disclose or disclose your account password to any unauthorized party at any time and under any circumstances, and shall take all measures to prevent the disclosure of your account password to any unauthorized party;
3. You may not use the Platform to impersonate any person or entity, or otherwise misrepresent your relationship with a person or entity;
4. You may not use the Services for any commercial purpose directly or indirectly, unless otherwise permitted by SEALMG ;
5. Use the Platform or Services (or any of them) to conduct any fraudulent, unethical or illegal activities, or activities that may infringe the intellectual property rights of a third party, or to obtain any benefits, advantages or secret profits from any third party;
6. Use any intellectual property rights belonging to SEALMG or any other third-party owner listed on the Platform, including but not limited to trademarks or trade names, whether registered or not, without SEALMG’s prior written consent ;
7. Take any action that may undermine or manipulate the feedback or rating system;
8. Cause disruption, offense or nuisance to other users of the Platform or employees of SEALMG in any way ;
9. Attempt to decompile, reverse engineer, disassemble or hack the Service (or any part thereof), or to defeat or overcome any encryption technology or security measures implemented by us in connection with the Service and/or data transmitted, processed or stored by us;
10. Harvest or collect any information about other account holders, including, but not limited to, any personal or business information;
11. upload, email, post, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam mailings," "chain letters," "pyramid schemes," or any other unauthorized form of solicitation;
12. upload, email, post, transmit or otherwise make available any material that contains software viruses, worms, Trojan horses or any other computer code, routines, files or programs that are designed, directly or indirectly, to interfere with, manipulate, interrupt, destroy or limit the functionality or integrity of any computer software or hardware or data or telecommunications equipment;
13. Interfere with, manipulate or disrupt the Services or servers or networks connected to the Services, or any other use and enjoyment of the Services, or violate any requirements, procedures, policies or regulations of networks connected to the Platform;
14. Take any action or conduct that could, directly or indirectly, damage, disable, overburden, or impair the Service or the servers or networks connected to the Service;
15. Use the Services to intentionally or unintentionally violate any applicable local, state, national or international laws, rules, regulations, codes, directives, guidelines or policies, including but not limited to laws and requirements related to anti-fraud, anti-money laundering, anti-terrorism, illegal proceeds and anti-corruption (whether or not having the force of law);
16. Use the Services in violation of or to circumvent any sanctions or embargoes or laws that enforce them;
17. Copy, attempt to copy or forge SEALMG letters of credit and /or items;
18. Directly or indirectly recruit and /or poach any customers acquired through the use of the Platform.
4. User ID
1. In order to access and enjoy the full functionality and features of the Platform and/or Services, you may be required to create and register an account with SEALMG by providing certain personal information . You hereby acknowledge and agree that SEALMG may conduct a credit check on you, including but not limited to a check with a registered credit bureau or reporting agency, to assess your credit status, and you agree to sign all consent forms or provide additional documents required for such credit check if requested by SEALMG ;
2. You will be provided with a user ID and you will be entitled to set a password and/or security code for your account subject to certain requirements notified subsequently. When registering with SEALMG , you agree to provide accurate, current and complete personal information and to update it when it changes; if you fail to do so, we have the right to close your account and any web pages and/or other pages and/or reports you have created under your SEALMG account . If we rely on the content of your application and accept your use of our services, you irrevocably agree that you shall indemnify and hold us harmless from any costs, losses or damages resulting from any inaccurate or false statements or misrepresentations of fact submitted to you by us. If you choose a username that we consider offensive or inappropriate in our sole discretion, we have the right to suspend or terminate your account ;
V. Use of Services
1. You shall purchase at your own expense the equipment and software required to connect to and access the Platform and subsequently use the Services. You shall be responsible for all fees charged by third parties in connection with your connection of equipment to the Platform (or any of them) ;
VI. Goods and Services
1. All items reflected in the account are granted to you on a limited and revocable license basis, and their use shall be subject to the terms imposed by SEALMG from time to time ;
2. The value of items reflected in the account does not represent any real monetary credit value. These items cannot be exchanged for cash;
3. Unless otherwise permitted in writing by SEALMG, you are prohibited from selling, transferring or otherwise disposing of the Items to any other person, whether within or outside the Platform (or any one of them);
VII. Service Possibilities
1. We may release certain services or their features in the form of beta or trial versions, which may not work properly or in the same way as the final version. In this case, we do not assume any responsibility ;
2. SEALMG may request to verify your identity from time to time to confirm your ownership of your account. The purpose of this verification process includes, but is not limited to: fulfilling SEALMG 's obligations to relevant authorities to combat suspicious or illegal activities, anti-money laundering and financing of terrorism; enabling SEALMG to take action when unauthorized use of SEALMG accounts is detected; and resolving any disputes regarding the ownership of SEALMG accounts ;
3. You hereby irrevocably authorize SEALMG , either on its own or through its third-party service providers, to make any inquiries and collect any documents it deems necessary to verify your identity. As part of this verification process, upon request, you shall provide SEALMG with true, accurate, current and complete information about yourself that can be verified through documents that are legally recognized and accepted in the place where such documents are issued ;
4. We reserve the right to change, modify, suspend or discontinue all or any part of the Platform and/or Services at any time or upon notice as required by applicable law . We may also impose limits on certain features or restrict your access to part or all of the Platform and/or Services at our sole discretion without prior notice or liability to you ;
5. In order to enhance and improve, SEALMG may conduct software evaluations from time to time to evaluate the performance level of the Platform and/or Services. You hereby irrevocably grant and authorize SEALMG to conduct regular reviews of your account, including but not limited to evaluating your activities and /or transactions conducted on the Platform or through your account ;
6. In addition to the following terms, if you do not use the service for twelve (12) consecutive months, SEALMG may charge you a fee to maintain your account at its sole discretion ;
8. Disclaimer, Exclusions and Force Majeure
1. You agree and acknowledge that you will not hold SEALMG , its employees, agents or licensees liable for any special, incidental or consequential damages arising out of or in connection with the Services or these Terms of Use ;
2. Unless otherwise provided in this Agreement, the Services are generally provided every day. Although we strive to ensure the security of the Platform and/or Services, you acknowledge and agree that, to the maximum extent permitted by applicable law, all risks arising from accessing, using or performing the Platform and/or Services shall be borne by you ;
3. The Platform and /or Services are provided on an "as is" and "as available" basis and we make no warranties, claims or representations, whether express, implied or statutory, including but not limited to warranties of quality, performance, non-infringement, merchantability or fitness for a particular purpose, nor any warranties arising from course of dealing, course of performance, custom or usage of trade. Without limiting the foregoing, to the maximum extent permitted by applicable law, we do not warrant that the Platform and/or Services or the functions contained therein will be available, accessible, uninterrupted, timely, secure, accurate, complete or error-free, that defects, if any, will be corrected, or that the Platform and/or the server that makes them available are free of viruses, clocks, timers, counters, worms, software locks, freezing devices, Trojan horses, routing, trap doors, time bombs or any other harmful code, instructions, programs or components ;
4. To the maximum extent permitted by applicable law, in no event shall we be liable for the following matters, whether in contract, warranty, tort (including but not limited to negligence (whether active, passive or imputed), product liability, strict liability or other theory), or other causes of action at law, equity, statute or otherwise:
(1) loss of use; loss of profits; loss of revenue; loss of data; loss of goodwill; or failure to achieve expected savings, whether direct or indirect;
(2) any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of or the inability to use the Platform or Services, including but not limited to any damages resulting therefrom, even if we have been advised of the possibility of such damages ;
5. SEALMG shall not be liable for any delay or failure to perform the Services, regardless of the cause of the delay or failure. Such causes may include, but are not limited to, acts of God, riots, civil unrest, strikes (whether or not involving SEALMG 's employees), lockouts or other labor disturbances, fire, war, acts of foreign enemies, power outages, epidemics, pandemics, network congestion, telecommunications failures, power failures, or any failure, interruption, disruption or malfunction of equipment, tools, utilities, communications, computer (software and hardware) services or networks, governmental orders or changes in any laws or regulations that make performance impractical ;
6. You acknowledge, accept and agree that all disclaimers, exclusions and limitations of liability set forth in these Terms of Use represent a fair and reasonable allocation of the risks and benefits of the agreement between SEALMG and you, taking into account all relevant factors, including but not limited to the value of the consideration provided to you by SEALMG . You further agree that these disclaimers, exclusions and limitations shall be enforced to the maximum extent permitted by applicable law ;
IX. Intellectual Property
1. We grant you a limited and revocable license to access and use the accompanying software we make available to you through the Platform as part of the Service. Use of such software is subject to these Terms of Use. Any third-party scripts or codes linked or referenced to the Service are licensed to you by the third party that owns such scripts or codes. You may not directly or indirectly modify the features or functionality of the Software, copy or create derivative works using all or any part of the Software, analyze or remove components of the Software, decompile or otherwise reverse engineer, attempt to reverse engineer or derive source code, technology, algorithms or processes from the Software, or allow or encourage any third party to do so ;
2. All proprietary content and intellectual property displayed on the Platform are the exclusive property of SEALMG and third-party owners (as applicable). No party accessing the Platform shall directly or indirectly obtain any right or license to use or reproduce any intellectual property, and no party accessing the Platform shall assert any right, title or interest therein. By using or accessing the Services, you agree to comply with copyright, trademark, applicable intellectual property laws, and all other applicable laws protecting the Services, the Platform, and their contents. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell, or create derivative works of any part of the Services, the Platform, or their contents. You also may not mirror or frame any part or all of the Platform on any other server or as part of any other website, unless you obtain our prior written consent. In addition, you agree not to use any robot, spider, or any other automatic device or manual process to monitor or copy our content without our prior written consent (such consent is deemed to be the same as an Internet search site using standard search engine technology to direct Internet users to this website) ;
3. SEALMG does not treat any Submission as confidential, and we may disseminate or use such content for any purpose without any compensation or liability to you, including, but not limited to, developing and marketing merchandise. By submitting content to SEALMG , you acknowledge and agree that we and /or other third parties may independently develop software, applications, interfaces, merchandise, and modifications and enhancements thereof that are identical or similar to the ideas set forth in your Submission. Accordingly, you hereby grant us and our successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to develop the aforementioned merchandise, and to use, copy, distribute, republish, transmit, modify, adapt, create derivative works from, publicly display and publicly perform any Submission on, through or in connection with the Service in any media formats and through any media channels, including, but not limited to, promoting and redistributing portions of the Service (and derivative works thereof). These Terms do not apply to personal information that is subject to our Privacy Policy unless you make such personal information public on or through the Service ;
10. Platform Reliability
1. You understand that all transactions conducted on the Platform are conducted through telecommunications and data networks ;
2. You are fully aware that due to factors affecting relevant service providers and other relevant parties, you may be delayed or prevented from receiving notifications from SEALMG, and vice versa. You accept that SEALMG cannot guarantee the timely delivery of such notifications or confirmations;
3. You acknowledge and confirm that you will take all steps and measures to check and verify the transaction history of your account;
11. Account
1. If you know or believe that your account has been hacked or compromised, you should notify SEALMG immediately;
2. You are responsible for all transactions conducted through your account at any time before SEALMG receives the notice described in Article 14 ;
12. Information Disclosure
1. SEALMG has the right and you irrevocably and unconditionally agree and authorize SEALMG to disclose or publish any information related to you or your transactions through the Platform to the extent permitted by law, which SEALMG may determine in its sole discretion as appropriate:
(1) Persons to whom SEALMG may be required to disclose information in accordance with applicable laws ;
(2) such other person or entity pursuant to any government directive or court order;
(3) enforce these Terms of Use;
(4) Respond to your customer service requests;
(5) any other party that SEALMG deems appropriate ;
2. Unless otherwise provided in these Terms of Use, SEALMG will not disclose your personal information to any other party without prior notice to you ;
13. Applicable Law and Compensation
1. These Terms of Use shall be governed by and interpreted in accordance with the laws of the People's Republic of China , without regard to conflict or choice of law principles. Any dispute, legal action or proceeding arising out of or related to these Terms of Use shall be submitted to the jurisdiction of the courts of the People's Republic of China , unless SEALMG decides, at its sole discretion, to be resolved through arbitration in the People's Republic of China or otherwise ;
2. If necessary, you should obtain approval, consent or permission from relevant regulatory authorities before using the Services ;
3. For cross-border transactions, you must not violate the current laws of the countries involved in the transaction ;
4. You agree to indemnify, defend and hold us and our shareholders, subsidiaries, affiliates, related entities, directors, officers, agents, representatives, co-branders and employees (collectively, the “Indemnitees”) harmless from and against any and all claims, actions, proceedings and prosecutions and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, but not limited to, legal fees and dispute resolution expenses) arising from or related to: your breach or violation of any Terms of Use or any policy or guideline referenced herein; your use or misuse of the Platform or Services, or your violation of any law or any rights of a third party ;
14. Suspension, termination, and cancellation of service
1. SEALMG may cancel the Service (or any part thereof) at any time without notice. After cancellation, the Service (or any part thereof) may be reinstated in a manner and subject to the Terms of Use as determined by SEALMG in its sole discretion ;
2. You can notify us to deactivate your account at any time ;
3. SEALMG reserves the right to suspend or block access to and use of the Service (or any part thereof) at any time and for any reason, at the sole discretion of SEALMG . Reasons for suspension or termination may include, but are not limited to:
(1) The account has been inactive for 36 consecutive months or any other period determined by SEALMG;
(2) Having multiple user accounts or allowing unauthorized persons to access and use an account;
(3) We believe that your account behavior or your use of the Platform and/or Services is dishonest, fraudulent, illegal, criminal, or involves misrepresentation;
(4) You have violated or we have reasonable grounds to believe that you have violated any terms of use and/or any applicable terms and conditions provided by SEALMG from time to time , or have engaged in any behavior that is detrimental to SEALMG , or we believe that your behavior has damaged the interests of SEALMG ;
(5) you have violated any act, regulation, law, charter, rule, regulation, guideline and /or policy of any authority, regulator or governmental body;
(6) You have acted in bad faith or maliciously, or we have reasonable grounds to believe that your behavior is harmful, defamatory, or abusive to other users, third parties, and /or SEALMG;
(7) your name is included on any regulatory watch list (including, but not limited to, lists relating to terrorism and terrorism financing under the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLATFPUAA), lists relating to bribery and corruption and/or other local, foreign or international laws and regulations of a similar nature);
(8) if we are required to do so pursuant to an order of a court or any government or regulatory authority with relevant jurisdiction;
(9) You submitted false documents or declared false information during the SEALMG registration or application period ;
(10) you fail to provide any other information we may request from you for verification purposes from time to time ;
We may refer any use of the Platform, Services and/or Accounts for suspicious, fraudulent, illegal, harassing, defamatory, threatening or abusive purposes to appropriate law enforcement agencies without prior notice ;
4. Upon cancellation or termination of the Service (or any part thereof):
(1) You shall immediately pay all outstanding fees due to SEALMG , otherwise SEALMG shall have the right to initiate civil proceedings against you, including but not limited to damages, specific performance and /or interim or injunctive relief;
(2) SEALMG may, in its sole discretion, not process any request received by SEALMG after the effective date of termination ;
(3) SEALMG may, in its sole discretion, not act on any confirmation or request received by SEALMG between the date of notification to you and the effective date of termination (if there is a period of time between those dates) ;
(4) You hereby irrevocably and unconditionally authorize SEALMG to deduct all amounts due from you to SEALMG from any amounts payable by SEALMG to you ;
5. In addition to the above, if your access to and/or use of the Platform and/or Services is suspended, stopped or terminated by us due to suspicious, fraudulent, illegal or unlawful transactions, including but not limited to violation of any law (including but not limited to the Financial Services Act 2013, AMLATFPUAA and/or MACCA or any rules, regulations, policies and/or guidelines made thereunder), you will no longer be able to use your SEALMG Credit and will not be entitled to any money or refund. SEALMG may indefinitely retain, dispose of or release any money or refund to the relevant authorities in accordance with applicable laws, rules, regulations and /or guidelines . You will not be entitled to any form of compensation for any losses incurred thereby ;
6. Any provision of these Terms of Use, whether express or implied, which would continue to be valid and binding on you after deactivation of your account and/or termination of the Services shall survive such termination ;
15. Notice
1. All notices, demands, requests or other communications given or made under these Terms of Use shall be in writing and shall be sufficiently given or made to the other party by delivering such notice to the contact information notified by one party to the other party from time to time or through the communication channels provided on the Platform, or by sending such notice by hand, registered mail or email ;
2. Notice shall be deemed to have been given:
(1) If the delivery is made by a special person, upon receipt of a written confirmation signed by the recipient;
(2) If sent by registered mail, five ( 5) business days after mailing;
(3) in the case of e-mail or other communication channels available on the Platform, on the day of transmission, provided that the Sender does not receive a failure or undeliverable message from the Recipient’s hosting provider on the day of transmission ;
3. Notwithstanding the foregoing, in addition to the above delivery methods, any notice, document or communication sent by SEALMG to you shall be deemed to have been delivered in the following manner:
(1) Posting notices or communications on the Platform;
(2) Notices published through any media;
(3) Any notification method SEALMG may determine at its sole discretion ;
16. Options and Severance
1. SEALMG’s failure to enforce any one or more of these Terms of Use at any time or for any period shall not be deemed a waiver of those terms or the right to enforce them at any time thereafter ;
2. If any provision of these Terms of Use is declared invalid, revocable, illegal or unenforceable by any judicial or other competent authority, SEALMG shall modify such provision in a reasonable manner to achieve SEALMG’s intent or, at SEALMG’s sole discretion, sever it from these Terms of Use, and the remaining provisions shall remain in full force and effect ;
17. Changes
1. SEALMG may modify, add, delete or change these Terms of Use by posting on the Platform or in any other manner as determined by SEALMG in its sole discretion ;
2. You agree that your continued use of the Services constitutes your acceptance of these Terms of Use (as amended and modified from time to time) ;
18. Mission
1. You may not assign its rights under these Terms of Use without SEALMG’s prior written consent ;
19. Binding Force
These Terms of Use shall be binding upon your heirs, personal and legal representatives, estates, successors in title, and permitted assigns, as applicable ;
